GameStop shares rise 5% after debt exchange announcement

GameStop just told its convertible noteholders they’ll get paid in a mix of stock and cold, hard cash, and Wall Street apparently liked the sound of that. Shares climbed 5.4% after the company announced amendments to exchange agreements covering approximately $1.4 billion in convertible senior notes. The revised deal means noteholders will receive about 55.5 million shares of Class A common stock, roughly 73% of the total consideration, plus $358.4 million in cash making up the remaining 27%. The transaction is expected to close on or around September 3, 2026. Why cash matters here Convertible notes are essentially IOUs that can be swapped for stock instead of repaid in dollars. When a company settles them entirely in equity, it floods the market with new shares, diluting existing holders. By carving out $358.4 million in cash from its reserves, GameStop reduced the number of new shares entering circulation. A fully equity-based settlement would have required issuing significantly more stock, and the 5.4% share price bump suggests investors were relieved the company chose not to go that route.
